IntelWork4ce is a trading name. The contracting party is:

These mandatory mentions are required under art. R.123-237 Code de commerce and art. 19 LCEN (no. 2004-575).

3. Scope of Services

IntelWork4ce provides two complementary services governed by these Terms:

3.1 Showroom access (app.intelwork4ce.com): an invitation-only demonstration environment where prospective consulting clients experience the IntelWork4ce AI workforce. The Showroom is not a commercial software product. It is a proof-of-concept environment available exclusively to parties who have completed a discovery call with IntelWork4ce and received a valid Invitation Token. There are no subscription plans, no credit-based pricing, and no self-serve signup.

3.2 Consulting Services: professional AI transformation consulting engagements delivered under separate Engagement Agreements. Consulting Services include assessments, custom AI agent builds, Claude for the Enterprise configuration, Fractional Chief AI Officer retainers, and team enablement programs. Each engagement is governed by its specific Engagement Agreement, which supersedes these Terms to the extent of any conflict.

4. Showroom Access

4.1 Invitation-only. Access to the Showroom is granted exclusively by IntelWork4ce following a discovery call. You may not register, sign up, or create an account without a valid Invitation Token. Attempting to access the Showroom without an Invitation Token will result in an access-denied response.

4.2 Access period. Showroom access is granted for an evaluation period defined at the time of invitation. At the end of the evaluation period, access expires automatically. IntelWork4ce may extend or terminate access at its discretion.

4.3 No commercial commitment. Showroom access does not constitute a commercial agreement, subscription, or purchase. IntelWork4ce makes no guarantee that a consulting engagement will follow from Showroom access. Any commercial engagement requires a separate signed Engagement Agreement.

4.4 Workspace data. Data within a Showroom workspace is retained for the duration of the evaluation period and for 30 days thereafter. IntelWork4ce then permanently deletes all workspace data unless the evaluation converts to a consulting engagement, in which case data handling is governed by the applicable Engagement Agreement and DPA.

4.5 Eligibility. You must be at least 18 years old and have legal authority to bind your organization to these Terms. The Showroom is a B2B service. Consumer protections under French consumer law do not apply.

4.6 Account security. You are responsible for maintaining the confidentiality of your Showroom account credentials and for all activity under your account.

5. Consulting Engagements

5.1 Separate agreement. Each consulting engagement is governed by a specific Engagement Agreement (Statement of Work or Master Services Agreement) signed between IntelWork4ce and the client. These Terms apply to the extent not superseded by the Engagement Agreement.

5.2 Custom builds. Where IntelWork4ce designs and builds a custom AI agent system for a client, the resulting system is deployed into the client's own cloud infrastructure using the client's own API keys and credentials. IntelWork4ce does not retain ongoing access to a client's custom-built system after delivery unless specified in the Engagement Agreement.

5.3 Fractional Chief AI Officer. Where IntelWork4ce provides a Fractional Chief AI Officer service, the specific time commitment, deliverables, governance responsibilities, and fees are defined in the applicable retainer agreement, which takes precedence over these Terms.

5.4 IP in consulting deliverables. Deliverables produced during a consulting engagement (reports, assessments, frameworks, agent configurations, prompt libraries) are subject to the IP provisions of the applicable Engagement Agreement. In the absence of specific IP provisions, deliverables are licensed to the client for internal use only and IntelWork4ce retains all underlying IP in methodologies, frameworks, and agent architectures.

6. Acceptable Use

You agree not to use the Showroom or any IntelWork4ce service to:

• Violate any applicable law or regulation, including GDPR and French data protection law
• Generate, distribute, or publish illegal, defamatory, fraudulent, or harassing content
• Conduct unauthorized outreach, spamming, or unsolicited commercial communications in violation of applicable anti-spam laws (including French LCEN and art. L.34-5 CPCE)
• Attempt to reverse-engineer, scrape, or replicate the Showroom platform, AI agents, agent logic, or prompt architectures
• Circumvent access controls or any security measures
• Use the Showroom to process special categories of personal data (health, biometric, political, religious data) without explicit written agreement with IntelWork4ce
• Provide access to your Showroom workspace to individuals or entities on applicable sanctions lists
• Share your Invitation Token or Showroom credentials with any third party

Violation of this Section entitles IntelWork4ce to suspend or terminate your access immediately.

7. Intellectual Property

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms or any Engagement Agreement, and to use such information only to perform obligations hereunder. This obligation survives termination for 3 years. Client Data is Client confidential information. IntelWork4ce's platform architecture, agent methodologies, pricing, and roadmap are IntelWork4ce confidential information.

9. Data Protection

Data processing in connection with the Showroom and consulting engagements is governed by the IntelWork4ce Privacy Policy (incorporated by reference) and, for clients processing personal data of third parties through the Showroom, the Data Processing Agreement (DPA) available at intelwork4ce.com/dpa.

IntelWork4ce processes personal data as a data processor under GDPR Article 28 where applicable.

10. Warranties and Disclaimers

IntelWork4ce warrants that:

• The Showroom will perform materially in accordance with its documentation during the evaluation period
• It holds all necessary rights to operate the Showroom and provide the consulting services
• It will implement reasonable technical and organizational security measures

IntelWork4ce does not warrant that:

• AI agent outputs are accurate, complete, or fit for any specific legal, financial, or compliance purpose. All outputs require human review before use or reliance.
• The Showroom will be uninterrupted or error-free during the evaluation period
• Connected third-party services (Slack, Google, HubSpot, etc.) will remain available

The Showroom is provided for evaluation purposes. It is not a production environment and should not be used as the sole basis for business decisions.

11. Liability Limitation

For consulting engagements governed by a separate Engagement Agreement, the liability provisions of that agreement apply.

Nothing in these Terms limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be excluded under applicable French law.

12. Indemnification

You agree to defend, indemnify, and hold harmless IntelWork4ce against any claims, damages, obligations, losses, costs, or expenses (including reasonable legal fees) resulting from: (a) your use of the Showroom or consulting services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party rights; (d) any unauthorized sharing of your Invitation Token or Showroom credentials.

13. Suspension and Termination

Suspension by IntelWork4ce: IntelWork4ce may suspend Showroom access immediately for breach of these Terms or for security risk. You will be notified promptly except where notification is impossible for legal or security reasons.

Termination of Showroom access: Showroom access terminates automatically at the end of the evaluation period, or earlier upon written notice from either party. Termination does not affect rights and obligations accrued prior to termination.

Termination of consulting engagement: governed by the applicable Engagement Agreement.

14. Changes to These Terms

IntelWork4ce reserves the right to modify these Terms. Material changes will be notified by email at least 14 days before taking effect. Continued use of the Showroom or consulting services after the effective date constitutes acceptance.

15. Governing Law

These Terms are governed by French law. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Paris, France.

16. General Provisions

• Entire agreement: these Terms, the Privacy Policy, and the DPA (and where applicable, the Engagement Agreement) constitute the entire agreement between the parties and supersede all prior agreements.
• Severability: if any provision is held invalid or unenforceable, the remaining provisions continue in full force.
• Waiver: IntelWork4ce's failure to exercise a right does not constitute a waiver of that right.
• Assignment: you may not assign your rights under these Terms without IntelWork4ce's prior written consent. IntelWork4ce may assign its rights in connection with a merger, acquisition, or asset sale.
• Force majeure: neither party is liable for delays or failures resulting from circumstances beyond their reasonable control.
