1. Definitions

| Subscription | A recurring paid plan (Bootstrapper, Solo, Starter, Growth, Scale, or Enterprise) with defined credit allowances and agent access |
| Customer Data | All data you upload, input, or make accessible through the Platform, including Slack messages directed to Agents and Connector data |
2. Account Registration & Eligibility
- You must be at least 18 years old and have legal authority to bind your organization to these Terms
- You are responsible for the accuracy of all registration information
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account
- IntelWork4ce is a B2B service. Consumer protections under French consumer law do not apply to business customers
- One workspace is provisioned per paid subscription. Additional workspaces require separate subscriptions
3. Free Trial
New registrations receive a 7-day free trial by selecting any available paid plan (Bootstrapper, Solo, Starter, Growth, or Scale) at registration. No payment information is collected during the trial period. The selected plan's credit allowance is provisioned immediately for evaluation purposes.
At the end of the trial:
- If no subscription is activated: the workspace is paused. Data is retained for 14 days, then permanently deleted.
- To continue after the trial: the user must explicitly subscribe to a paid plan via the billing page. No automatic charge occurs.
- All workspace data, agent configurations, and settings are preserved upon conversion to a paid subscription.
Upgrading during trial: Subscribe at any time via the billing portal. The selected plan activates immediately and billing begins from the subscription date.
IntelWork4ce reserves the right to modify or discontinue the free trial offering at any time with 14 days' notice.
4. Subscriptions, Credits & Billing
4.1 Plans

4.2 Credit Consumption
Credits are consumed per agent action at defined rates. Representative costs:

4.3 Credit Top-Ups & Overages
- Credits not consumed within a billing period do not roll over
- Additional credits may be purchased at any time: 100 credits (€18), 500 credits (€75), 1,000 credits (€130)
- Overage rate: €0.18 per credit consumed beyond your monthly allowance
- Hard credit caps prevent unintended overages. Agent tasks are suspended when credits reach zero unless a top-up is purchased
4.4 Billing Terms
- All prices are in EUR, exclusive of applicable taxes
- French VAT (20%) is applied to all subscriptions for EU customers. Business customers with a valid EU VAT number may provide it for VAT reverse charge
- Monthly subscriptions are billed on the calendar day of initial purchase
- Annual subscriptions are billed upfront for 12 months at the discounted annual rate
- Payment is processed via Stripe. Stripe's Terms of Service apply to payment processing
- Invoices are issued within 24 hours of each billing cycle and accessible in your portal
4.5 Failed Payments
If a payment fails, IntelWork4ce will:
- Retry the charge on Day 3 and Day 7 following the failed payment
- Send email notifications at each retry attempt
- Suspend agent access (but preserve workspace data) if payment remains outstanding after Day 7
- Terminate the subscription and delete workspace data after 30 days of unresolved non-payment
5. Cancellations & Refunds
Monthly subscriptions: Cancel anytime. Access continues until the end of the current billing period. No prorated refunds.
Annual subscriptions: Cancel anytime. No refund is issued for the remaining months of the annual term, except where required by applicable law. If IntelWork4ce materially degrades service quality, customers may request a prorated refund by contacting support within 14 days of the degradation event.
Trial cancellation: Subscriptions cancelled before the 7-day trial expires incur no charge. Once the trial converts to a paid subscription, standard cancellation terms apply (Section 5 above). No post-conversion refund is issued for the first billing period.
6. Acceptable Use
You agree not to use IntelWork4ce to:
- Violate any applicable law or regulation, including GDPR and French data protection law
- Generate, distribute, or publish illegal, defamatory, fraudulent, or harassing content
- Conduct unauthorized outreach, spamming, or unsolicited commercial communications in violation of applicable email/anti-spam laws
- Attempt to reverse-engineer, scrape, or replicate the Platform or its AI models
- Circumvent credit limits, access controls, or any security measures
- Use the Platform to process Special Categories of personal data (health, biometric, political, religious data) without explicit written agreement with IntelWork4ce
- Provide access to the Platform to individuals or entities on applicable sanctions lists
Violation of this Section entitles IntelWork4ce to suspend or terminate your account immediately without refund.
7. Intellectual Property
7.1 Platform IP
IntelWork4ce retains all intellectual property rights in the Platform, including all software, AI agents, agent logic, brand assets, documentation, and prompt architectures. Nothing in these Terms transfers any IP rights to you.
7.2 Customer Data
You retain all ownership and intellectual property rights in your Customer Data. You grant IntelWork4ce a limited, non-exclusive, non-transferable licence to process Customer Data solely to deliver the Services described in these Terms. This licence terminates upon account deletion.
7.3 Agent Outputs
Content generated by IntelWork4ce Agents based on your instructions and data is assigned to you. IntelWork4ce makes no claim over AI-generated outputs produced for your account. You are solely responsible for reviewing, approving, and using Agent outputs in compliance with applicable law.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms, and to use such information only to perform obligations under these Terms. This obligation survives termination for 3 years. Customer Data is considered Customer confidential information. Platform architecture, pricing, and roadmap are IntelWork4ce confidential information.
9. Data Protection
Data processing under these Terms is governed by the IntelWork4ce Privacy Policy (incorporated by reference) and, for B2B customers processing personal data of third parties through the Platform, the Data Processing Agreement (DPA) available at https://intelwork4ce.com/dpa.
Where IntelWork4ce processes personal data as a data processor on your behalf, it does so in accordance with GDPR Article 28 and the applicable DPA. Customers are responsible for ensuring their use of the Platform complies with applicable data protection laws in their jurisdiction.
10. Warranties & Disclaimers
IntelWork4ce warrants that:
- The Platform will perform materially in accordance with its published documentation
- It holds all necessary rights to provide the Platform
- It will implement reasonable technical and organizational security measures
IntelWork4ce does not warrant that:
- Agent outputs are accurate, complete, or fit for any specific legal, financial, or compliance purpose — all outputs require human review before use
- The Platform will be uninterrupted or error-free
- Connected third-party services will remain available (outages at Slack, Google, Stripe, etc. are outside IntelWork4ce's control)
11. Liability Limitation
Nothing in this Section limits liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; (iii) any liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify and hold harmless IntelWork4ce, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (i) your violation of these Terms; (ii) your Customer Data infringing any third-party rights; (iii) your use of Agent outputs in violation of applicable law.
13. Suspension & Termination
13.1 By Customer
You may cancel your subscription at any time via the billing portal or by emailing support@intelwork4ce.com. Cancellation takes effect at the end of the current billing period. Data deletion follows the schedule in the Privacy Policy Section 9.
13.2 By IntelWork4ce
IntelWork4ce may suspend or terminate your account immediately, with written notice, if:
- You materially breach these Terms and fail to remedy the breach within 10 business days of notice
- You engage in conduct that violates Section 6 (Acceptable Use)
- Payment remains unresolved for more than 30 days
- Continuation of the service would expose IntelWork4ce to legal or regulatory risk
IntelWork4ce may terminate a subscription for convenience with 30 days' written notice and will provide a prorated refund for any prepaid unused periods.
14. Service Level & Uptime
IntelWork4ce targets 99.5% monthly uptime for the Platform. Uptime excludes scheduled maintenance, third-party service outages (Slack, Google Cloud, Stripe), and events beyond IntelWork4ce's reasonable control. Uptime is tracked and published at https://status.intelwork4ce.com.
Service credits for downtime are available to Growth, Scale, and Enterprise customers as follows: >1 hour unplanned downtime in a billing period = 10% service credit on that month's subscription fee. Credit requests must be submitted within 14 days.
15. Changes to These Terms
IntelWork4ce may update these Terms with 14 days' written notice for material changes. Notice is provided by email and in-app notification. Continued use of the Platform after the effective date constitutes acceptance. If you do not accept the updated Terms, you may cancel your subscription before the effective date and receive a prorated refund for any unused prepaid period.
16. Governing Law & Dispute Resolution
These Terms are governed by French law. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties for 30 days. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.
For disputes involving EU consumers (if applicable), the EU Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr.
17. General Provisions
If any provision of these Terms is held unenforceable, the remaining provisions continue in full force. Failure to enforce any provision does not constitute a waiver. These Terms constitute the entire agreement between the parties regarding the Platform and supersede all prior agreements. IntelWork4ce may assign these Terms in connection with a merger, acquisition, or sale of assets with 30 days' notice. You may not assign these Terms without IntelWork4ce's written consent. Headings are for convenience only and do not affect interpretation.
